End-User License Agreement
This EULA governs use of the Trading Strategy Engine (the "Software"), provided in object-code/binary form only. The Software is licensed, not sold.
1. License grant
Subject to continuous compliance and payment of all fees, Andrey Solovyev PR, Serbia grants a non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the Software on supported platforms, limited to the scope, quantities and term enforced by the License Key.
2. The licensed unit — active robots
The licensed quantity is measured in robots running at the same time; every running robot counts as one, whatever it does. The License Key scopes the committed number of robots.
3. Fees and usage-based billing
Usage is billed at a flat rate per robot per day. The number billed for each day is your committed number of robots: the number you bought, raised automatically to the highest number you have run at once. Once raised, the committed number is retained and billed for every day, whether or not the robots are running. Running above your committed robots is never blocked; it raises your committed number to that new maximum from the day it is reached. Grid-search backtests may automatically use additional parallel robots, and the peak they reach raises the committed number in the same way. You may lower the committed number from your account; a reduction takes effect from the next day (UTC), after which the number may rise again in the same way. No charges accrue for a free trial license or for days on which a license is suspended.
An invoice is issued either on the first day of each month, for the previous month, or once the charges not yet invoiced reach the billing threshold — whichever comes first. An invoice lists every period during which the billed number stayed the same, as robots × days × the rate per robot per day. Days and months are counted in UTC. Payment is due within one week of issuance. If an invoice is not paid, the license is suspended and, after a further grace period, revoked.
Billing is operated by the licensor's website; payment is processed by Paddle as merchant of record. Fees are exclusive of taxes. The licensor does not offer refunds; the Refund Policy on the licensor's website applies.
4. License Keys and activation
The Software is enforced by a License Key encoding identity, authorized scope and any expiration. To validate its license, the Software must reach the internet at least once every 7 days; a short offline lease is tolerated. You shall not disable, evade, tamper with or circumvent the License Key or any technical protection measure.
The Software binds to one machine. On first activation the License Key binds to the machine the Software runs on, identified by a coarse hardware fingerprint, and only that machine may run the Software under that key. Moving the license to another machine is a transfer, made from your account or from the Software itself, and transfers are limited to four in any twelve months. Replacing the machine's hardware or re-creating a virtual instance may present as a different machine and consume a transfer.
5. Restrictions
No reverse engineering, decompilation or disassembly; no rental, lease, sublicensing, hosting or service-bureau use; no modification or derivative works; no removal or alteration of proprietary notices or License-Key mechanisms; no development of a competing product; and no publication of benchmarks without prior written consent.
6. Ownership
The licensor and its licensors retain all right, title and interest, including all intellectual property rights, in and to the Software. No rights are granted except as expressly stated.
7. Third-party components
The Software incorporates third-party open-source components provided under their own terms; see the Third-Party Licenses & Notices. Those terms govern the corresponding components.
8. Warranty disclaimer
The Trading Strategy Engine, this website and the services offered on it are provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. No warranty is given that their use will be uninterrupted or error-free, or that it will produce any particular trading, investment or financial outcome, a profit, or the avoidance of a loss.
9. No investment advice
The Trading Strategy Engine is a computational tool. Nothing in it, in its documentation or on this website is financial, investment, trading, legal, accounting or tax advice, a trading signal, or a recommendation to buy or sell any instrument; the example robots illustrate the programming interface and are not strategies recommended for trading. Trading financial instruments carries a substantial risk of loss. Results of backtests and paper trading are hypothetical: they are computed on historical or simulated data, cannot reflect every condition of a live market, and do not predict live results. Every trading and investment decision, including the decision to run code or a strategy written by you, by a third party or by an AI model, is yours alone and is made at your own risk, and you alone are responsible for complying with the laws and regulations that apply to you.
10. Exclusion and limitation of liability
To the maximum extent permitted by law, Andrey Solovyev PR accepts no liability for any loss or damage arising from the use of, or the inability to use, the Trading Strategy Engine, this website or the services offered on it, including trading losses, lost profits, revenue or data, and indirect, incidental, special, consequential or punitive damages. Where liability cannot be excluded but can be limited, it is limited to the fees you paid in the twelve months preceding the event giving rise to the claim. Nothing here excludes or limits liability that applicable law does not allow to be excluded or limited, including liability for intent or gross negligence, or any right that consumer-protection law gives you.
11. Confidentiality
The Software, its performance characteristics and License Keys are the licensor's Confidential Information and shall be protected with no less than reasonable care.
12. Term and termination
A metered license has no fixed expiry and continues while each issued invoice is paid; only trial and bespoke licenses carry an expiry. The licensor may terminate on breach not cured within thirty (30) days. On termination, all licenses end and the licensee shall cease use and destroy all copies.
13. Export control and sanctions
The licensee shall comply with all applicable export-control, sanctions and trade laws and is not located in or a resident of any embargoed or sanctioned jurisdiction.
14. Audit
On reasonable notice, the licensor may verify compliance with the licensed scope; the licensee shall remedy any shortfall and pay fees for underlicensed use.
15. Source code escrow
The Software is licensed in binary form only and no source code is delivered under this Agreement. On the licensee's request, the licensor shall enter into a source-code escrow agreement with an independent escrow agent, under which the source code of the Software and the materials reasonably required to build it are deposited, and released to the licensee upon defined release events, including the licensor ceasing to operate or ceasing to support the Software. On release, the licensee receives a non-exclusive, non-transferable licence to use and maintain that source code solely for its own internal use of the Software, and remains bound by the confidentiality obligations of this Agreement. Because the Software validates its licence periodically, the deposit shall include the means to operate the Software without that validation following a release event. The escrow agent, the level of verification and the allocation of the agent's fees are agreed with the licensee in a separate agreement.
16. Governing law
This Agreement is governed by the laws of the Republic of Serbia; the parties submit to the exclusive jurisdiction of the competent courts at the licensor's registered seat. Notices to the licensor: Andrey Solovyev, [email protected].
